Heads of agreement for private company equity raising

I need a heads to agreement which outlines: - subscription of shares - director position and relationship to board - Non disclosure and protection of intellectual property of the Company - Dividend and releasing of shares conditional of 95% shareholder agreement - Sale of 10% equity for $5k with a future commitment to buy another 5% for $10k when paid subscriptions reach 50 - legally binding clause - disclosure of future more detailed agreements based on this heads of agreement - Company constitution - current and future shareholder must agree to promote the brand in a positive manner, you should not solicit, entice, incentivise, promote or otherwise encouraged any Betbuilder client, staff member or shareholder to directly promote another tipping service without the express consent of the Chief Executive Officer.
