6. Online shopping feature for various products & Services with a feature to host auctions as well.

Non-circumvention:

Each party to this Agreement agrees not to willfully or intentionally circumvent any other party in any manner which would reduce the compensation or commission intended by this Agreement, including but not strictly limited to, making contact with, directly or indirectly, or by becoming involved in any transaction with any of the corporations, companies, individuals, or entities associated with or related to the Services intended to be supplied under this Agreement and shall disclose to any relevant third party that such a non-circumvention agreement exists between the Parties.

Confidentiality.

Except as and to the extent required by law, neither Party shall disclose or use, and shall direct its representatives not to disclose or use to the detriment of the other Party, any Confidential Information (as defined below) furnished, or to be furnished, by either Party or their respective representatives to the other Party at any time or in any manner other than in connection with its evaluation of the Proposed Transaction. For purposes of this Section, “Confidential Information” means any information stamped “confidential” or identified in writing as such to the other Party promptly following its disclosure, unless (a) such information is already known to the recipient or its representatives or to others not bound by a duty of confidentiality at the time of its disclosure or such information becomes publicly available through no fault of the recipient or its representatives; (b) the use of such information is necessary or appropriate in making any filing or obtaining any consent or approval required for the consummation of the Possible Transaction; or (c) the furnishing or use of such information is required by or necessary or appropriate in connection with legal proceedings. Upon the written request of either Party, the other Party will promptly return or destroy any Confidential Information in its possession and certify in writing to the other Party that it has done so.
